Corporate Paralegal

Description

Healthcare network has an immediate opening for a Corporate Paralegal! This Corporate Paralegal will join the legal team and report to the VP of Corporate Governance. As a Corporate Paralegal, you'll focus on corporate governance including board support, regulatory filings preparation, and subsidiary maintenance. This position is 100% remote so candidates from around the US are encouraged to apply. The ideal candidate will have 5-10+ years of corporate paralegal experience, including significant corporate governance experience related to board support for a public company.

Responsibilities

• Updating and maintaining corporate board lists and filing information

• Preparing for board meetings by compiling governance documents

• Drafting resolutions and managing filings

• Undertaking general corporate maintenance, including secretary of state filings and updates

• Supporting the regulatory team with miscellaneous filings

• Assisting in corporate mergers and acquisitions, contracts, and purchase/sale support as needed

• Utilizing skills such as Corporate Minute Books, Corporate Governance, Meeting Planning, Meeting Preparation, and Legal Documentation

Requirements

Qualifications

• Minimum of 5 years' experience as a corporate paralegal with a public company

• Proficient in board support including meeting coordination and minute and resolution preparation

• Expertise is general corporate governance support such as regulatory filing preparation and subsidiarity maintenance

• Excellent written and verbal communication skills

• Strong organizational skills with the ability to multitask and prioritize

• Proficient in Microsoft Office Suite

• Ability to work effectively in a fast-paced, deadline-driven environment

• Strong problem-solving skills and attention to detail

• Ability to work independently and as part of a team
